Most board agendas fail before the meeting starts. They are either too long or not structured for decision-making. This template fixes both.

Bundle routine approvals (prior minutes, bank authorizations, policy renewals) into a single consent block. Directors vote once to approve the bundle unless someone pulls an item for discussion. This reclaims 20 to 30 minutes per meeting.

Keep the consent agenda to items that require no discussion. If an item generates debate every quarter, it does not belong there.

Standard order of business

1. Call to order and quorum check (2 min) Confirm attendance. Note any conflicts of interest before business begins.

2. Consent agenda vote (3 min) One vote covers all bundled items unless an item is pulled.

3. CEO report (15 min) Financials vs. plan, key metrics, major risks. No slideshows longer than 10 slides. Directors read the board book in advance, so the CEO presents the delta, not the full report.

4. Committee reports (10 min) Audit, compensation, nominations. Written summaries distributed in the board book. Verbal presentation covers exceptions and recommendations only.

5. Strategic discussion (45 to 60 min) One or two topics requiring board input. Not operational updates. Frame each as a decision or a direction question.

6. Executive session (15 min, directors only) No management in the room. Standard at every meeting, not only when there is a problem. This normalizes the practice and reduces signal noise.

7. Action items and next meeting (5 min) Who does what, by when. Assigned, not volunteered.

Board book distribution timing

Send the board book at least five business days before the meeting. Directors who receive materials 24 hours before cannot prepare adequately, and they will fill air time with questions that should have been answered in advance.

Our board book preparation time study shows how many hours directors actually spend on prep at different lead times, and our board meeting frequency and duration data provides the benchmarks behind the time blocks above.

Our board meeting coordination service handles board book assembly, director logistics, and minutes capture end-to-end. See also our executive communications service for memo and update support.

What the EA owns in board prep

Three weeks out: confirm attendee availability, book the room or video link, draft the agenda skeleton. The room-booking mechanics sit inside the broader system covered in calendar management tips for CEOs.

Two weeks out: chase committee chairs for written summaries, compile the board book first draft.

One week out: distribute board book, confirm logistics, prepare the room briefing.

Day before: send the CEO a one-page briefing with open action items from the last meeting.

For a managed board coordination service, contact our team. We work with executive assistants and chiefs of staff at private companies with boards of four to twelve directors.
